What will you do

Johnson Controls, Inc. seeks a Senior Director, Corporate Development at its facility located at 5757 N Green Bay Avenue, Milwaukee, WI 53209.

How will you do it

Lead select merger and acquisition (M&A) activities. Provide leadership, guidance to the deal team and analytical support, including financial statement analysis and financial model development; valuation analysis; and the preparation of various presentations and documents including descriptive memoranda, management presentations and internal transaction review/approval documents for senior management. Oversee and guide junior deal team to ensure delivery of exceptional quality work product. Oversee financial modeling and valuation analyses on public and private companies: comparable company analysis, precedent transaction analysis, discounted cash flow analysis and leveraged buyout analysis. Develop and oversee creation of presentations/documents for topics, such as M&A opportunities, strategic alternatives and financing considerations. Lead and assist in the due diligence process, including process planning, project management of various work streams and consolidation of due diligence findings into reports and impact analyses. Provide leadership, support and management of ad hoc projects as required. Manage productive relationships with corporate executives, business unit officers, target company management teams, and industry professionals who can assist in M&A initiatives.

What we look for

This position requires a Masters degree, or foreign equivalent, in Business Administration, Finance, Economics, or related field, plus 8 years of work experience with investment banking, corporate development, or financial/transaction advisory services. Additionally, the applicant must have professional experience with: (1). M&A transaction execution for software/technology companies; (2). Various company valuation analysis techniques including comparable company, precedent transaction, discounted cash flow, and leveraged buyout analysis; (3). Financial analysis and modeling skills, including operating model, financial forecast, synergy, working capital, and transaction payout waterfall analysis; (4). Negotiating letter of intent (LOI) and definitive purchase/sale agreements in M&A context; (5). Leading M&A due diligence process planning, management, reporting and impact analyses, and (6). Managing productive relationships with industry and advisory professionals to assist with M&A initiatives.
