Cirrus Aircraft is looking for a talented Corporate Counsel to join our small and dynamic legal team. Reporting to the SVP & General Counsel, the Corporate Counsel will provide broad-based legal support to the company's GC and other colleagues throughout Cirrus's vibrant organization, all in a manner that displays legal excellence, attention to detail, a proactive and practical approach, and a dedication to customer service. The Corporate Counsel will be a corporate generalist position supporting Cirrus business teams on a variety of day-to-day legal matters, including contracts and contract negotiation, regulatory compliance, litigation support, corporate transactions, employment law, and intellectual property (including a focus on a broad trademark portfolio). The successful candidate will have at least 5 years of broad-based legal experience in dealing with sophisticated legal issues. A background that incorporates a mixture of law firm and in-house experience is strongly preferred, and specific experience in aviation law and hands-on trademark work would be ideal.

The Corporate Counsel will be the third member of Cirrus's Legal Department, joining the SVP & General Counsel (who started the Legal Department from scratch three years ago) and an experienced Corporate Paralegal. Essential Duties & Responsibilities:

• Provide high-quality and proactive legal advice and service with a focus on the general aviation industry.
• Draft, review, and negotiate a wide variety of agreements and contracts, including sales agreements, license agreements, supply/procurement agreements, real estate agreements, marketing agreements, etc. Draft and review numerous types of other routine legal documents, agreements, and instruments.
• Manage, oversee, and protect the Company's robust worldwide trademark portfolio. In doing so Counsel will coordinate with internal clients and outside counsel (as necessary) on prosecution of new trademark applications, maintenance of existing trademark applications, oversight of trademark oppositions, and protecting our trademarks and brand through needed enforcement actions. A strong preference is for a hands-on trademark practitioner with experience performing trademark clearance searches and performance of appropriate trademark filings with the USPTO. Also provide legal support on other Intellectual Property matters as needed, including privacy matters.
• Review brand marketing and advertising communications and promotional materials to ensure claim substantiation, appropriate disclosures, intellectual property protection, and FTC, FDA, and other regulatory compliance.
• Assist the General Counsel and outside counsel as needed in the management of company litigation and claims matters, including product liability litigation and employment litigation. Provide assistance during litigation discovery process, including interacting with internal subject matter experts (e.g., Engineering, Quality Assurance, Human Resources, etc.) to obtain background information and implementation of litigation holds.
• Undertake other ad hoc projects under the minimal supervision of the company's General Counsel in all facets of the business and conduct legal research as necessary to support initiatives. Monitoring and maintaining current knowledge of aviation industry trends in legal and compliance matters and pursuing ongoing professional development to maintain current knowledge on best practices and risk management.


• J.D. with excellent academic credentials.
• Current attorney license in at least one State and must be in good standing.
• 5-10 years of varied corporate law experience (preferably a portion of which gained in an in-house corporate setting).
• Proven negotiation, drafting and analytical skills for various types of commercial contracts. Must be a skilled writer and drafter.
• Driven and self-motivated with a strong desire for customer service and excellence.
• Exceptional oral and written communications, presentation, and facilitation skills. Must interact confidently, persuasively and diplomatically with all levels of Cirrus organization. Must also be a good listener.
• Demonstrated ability to work efficiently, prioritize workflow, meet demanding deadlines, and manage multi-faceted projects in a fast-paced environment.

Preferred Qualifications:

• Prior in-house corporate generalist experience.
• Prior general aviation legal experience.
• Prior hands-on trademark practitioner experience.
• A good sense of humor.
