Typical Day in the Life

The Chief Legal Officer (CLO) is responsible for strategic and tactical legal initiatives for the Firm, assessing the principal risks of the Firm and ensuring those risks are being monitored and managed. The CLO provides management with effective advice on strategies and implementation, manages the legal function and retains and oversees the work of outside counsel. The CLO is directly involved in critical contracts review and negotiation.

A typical day as the Chief Legal Officer might include the following:
  • Managing relationships, coordinating litigation and all other legal matters handled by outside counsel.
  • Managing and reporting circumstances and potential circumstances with our PLI insurance carriers.
  • Drafting, reviewing and editing contracts including client engagement letters, supply agreements, business associate agreements, confidentiality agreements, software license agreements, marketing agreements and IP licensing agreements.
  • Providing guidance to all levels of the organization on a variety of legal issues, including responses to subpoenas, depositions, settlement and release documents, litigation management and client bankruptcy matters.
  • Advising firm leadership regarding the management of firm risk including exposure, governance, enterprise risk management (IT, Human Resources, finance and general business counsel to the Office of the CEO) and professional liability.
  • Assisting in monitoring multi-state regulatory requirements and ensuring firm-wide compliance.
  • Participating in the definition and development of corporate policies, procedures and programs, and providing continuing counsel and guidance on legal matters and on legal implications of all matters.
  • Serving as legal advisor on all major business transactions, including mergers, acquisitions, divestitures and joint ventures.
  • Ensuring firm leadership and staff are informed of substantive legal topics that impact the firm, as necessary
  • Assisting in managing the firm's professional liability and general liability insurance claims and relationships with insurers and brokers.
  • Assisting CQO in the areas of quality control, risk management, service delivery, policies, and processes to ensure compliance with regulatory and Firm rules and regulations.
  • Assisting the CQO to ensure compliance with licensing laws for the Firm or specific individuals. Has the responsibility for becoming aware of the status of licensing and events that could affect the right of the Partnership to practice in such jurisdictions.
  • Providing leadership to the MP/CEO and the Board of Directors regarding corporate governance and partnership agreement interpretation matters.

 

Who You Are
  • You have prior experience as an attorney with a law firm.
  • You possess excellent communication and interpersonal skills with both internal and external audiences and the ability to communicate effectively in all media.
  • You have proven experience with project management support, including the ability to build relationships with stakeholders.
  • You have strong follow-up skills and the ability to multi-task and manage multiple projects simultaneously.
  • You possess strong business acumen and take a common-sense approach to solving problems and providing solutions.
  • You have a demonstrated ability to forward think and have a high degree of professional ethics and integrity.
  • In addition to all of this, you have a Juris Doctorate degree with active license to practice in Minnesota or North Dakota and have 7 years of professional experience with at least 5 years in general business law. Litigation and corporate experience is preferred but not required.

 

Must be authorized to work in the United States permanently without the requirement of sponsorship at any point in the future.
