The SVP and Chief Legal Officer serves as an integral member of the senior leadership team. This position leads the legal team in providing counsel on a wide range of legal and regulatory issues to assist Blue Cross and Blue Shield of North Dakota (BCBSND), along with its holding company and affiliates, in fulfilling operational and fiduciary responsibilities and strategically positioning it for future success. The role serves as Corporate Secretary and has responsibility for enterprise governance matters. The SVP & CLO is also responsible for overseeing assigned operational divisions, providing strategic leadership and direction to ensure the company has the proper operational controls, procedures and systems in place to effectively grow the organization and ensure financial strength. Initially, this position will provide executive and strategic leadership to the following divisions in addition to serving as the lead of the legal function: Public/Governmental Affairs and Compliance. Opportunities to lead other departments may arise during the successful applicant's tenure.

ESSENTIAL FUNCTIONS
• Directs, leads and oversees staff in accomplishing work objectives within the unit(s). Coaches, motivates, rewards and recognizes subordinates. Sets clear goals and objectives, sets performance expectations and holds employee(s) accountable for achieving results.
• Implements and monitors long range plans and strategies for operations and growth of assigned division(s). Ensures initiatives and business plans focus on operational efficiencies and/or provide innovative solutions to adapt to an ever-changing business environment. Directs a wide variety of functions, projects, and program areas requiring considerable latitude in decision-making and problem solving.
• Serves as a key legal, policy and business advisor on matters of importance to the Board of Directors and other senior executives, plus functions as the Corporate Secretary.
• Provides legal expertise and advice on behalf of the organization to appropriate internal and external parties affiliated with the organization.
• Represents the organization before the courts and government agencies, including the North Dakota Insurance Department, as it relates to complex legal problems.
• Retains and oversees outside counsel regarding transactions or litigation affecting the organization and its affiliates.
• Keeps up-to-date on federal and state statutes, laws, regulations and case law and ensures corporate policies, procedures, programs and contracts are compliant therewith.
• Assures the filing of all legal and regulatory documents and monitors compliance with relevant laws and regulations; ensures the preparation, analytical review, and the submission duties of critical legal documents for the organization are handled in a timely manner.
• Manages legal risk in the organization by evaluating legal trends and issues and advising the organization as necessary; provides guidance to senior leadership on how to focus their knowledge and resources to best modify or create processes which help to mitigate organizational risk, create operational or financial efficiencies or lead to industry best practices.
• Performs duties consistent with the corporate values and fosters a culture of innovation, service excellence, responsible stewardship, effective collaboration, integrity and enthusiasm.

EDUCATION REQUIREMENTS
Required: Doctorate
Preferred: Doctorate

Field(s) of Study: Doctor of Jurisprudence in Law

EXPERIENCE REQUIREMENTS
Required: Minimum of 12 Years
Preferred: Minimum of 12 Years

Experience Details: Minimum of 12 years relevant legal experience in general business law is required, with at least 5 years leadership experience is preferred. Legal experience within the healthcare or health insurance industry is highly desired. Litigation and corporate law experience is also preferred.

CERTIFICATION, LICENSURES & REGISTRATION REQUIREMENTS
Title: License to Practice Law

State or Agency: State Bar/Board of Law Examiners

Active credentials will need to be verified prior to hire or transfer into this position, and incumbent's license will need to remain active and in good standing while employed in the role. A successful candidate not currently licensed in North Dakota will need become licensed consistent with the North Dakota licensure rules.

Equivalent combination of education, experience or training determined to be acceptable by Human Resources may be substituted, unless regulated by contract or program standards
